Board of Directors’ Meeting MINUTES – February 2013

Date: Wednesday February 20th, 2013
Time: 5:30 pm
Location: Studio 4 Art Annex at 1133 Grant Avenue, Novato, Ca

Meeting called to order: 5:45pm by Darren Pomponio and quorum is noted.

Present: Loren Roberts, Randy Stemmer, Aldo Gigliotti, Tom Atkin, Connie Medeiros, Phil Schlenker, Catherine Bragg, Mark Dawson & Amy Brinkel
Excused Absence: Travis Howard & Matt Meblin

Public Comment: None

December 2012 meeting minutes: Randy Stemmer motions to approve December meeting minutes with stipulated corrections. Tom Atkin seconds, vote is called and is passed unanimously.

January 2013 meeting minutes: Meeting minutes were not prepared. Will be provided for at March BOD meeting.

Treasurers Report:
DNBA budget accounting method is reflected as on a cash basis as of beginning 2012. As opposed to an accrual method, which it was on for several years prior to then. As a direct result of this change in accounting procedures the DNBA is showing a $6K carryover from 2012 into 2013. Aldo Gigliotti motioned for a change in accounting records to reflect $6K liability that will be paid in 2013.
Randy Stemmer seconded motion, vote was called and decision passed unanimously.

Marketing Report: Marketing Committee is researching Merchant Services for DNBA website store. Proposal will be forthcoming. It was noted to ensure that our non-profit status be included in any bids.
Comcast budget 2013 has been prepared for our Marketing Committee to review. This report will be forthcoming to the BOD at our March meeting.
Marketing Committee continues to encourage all BID business to provide business information through our DNBA website data base. As of this date about 25% of BID businesses are logged in DNBA website.
Old Business: None

New Business: BOD has just learned that our long standing Marin Farmers Market Association will not be renewing their contract for this years’ Novato Farmers Market. As a result a Farmers Market committee has been formed consisting of members of the BID, the City of Novato & the Chamber of Commerce. As time is of the essence bids will be provided to the BOD by March 1st 2013 for immediate review and decision.
Also, it was motioned by Darren Pomponio to move the BOD meetings from an evening slot to lunch time slot – 12:30 – 1:30 pm, same third Wednesday of each month. Aldo Gigliotti seconds motion and vote is unanimous. Location to be determined.

Dear Downtown Novato Business Owner:

The Festival of Art, Wine and Music is once again coming to Novato.

The dates for the 30th Festival are: Saturday June 8th from 10am-7pm, and Sunday, June 9th from 10am-6pm.

The Festival is being held in Downtown Novato this year. It will be on Grant Ave., between Redwood Blvd. and 7th Street.

We will be closing the streets involved with the Festival at 9pm on Friday, June 7th.

All of Grant Ave., between Redwood and 7th will be closed from 9pm, June 7th through midnight, June 9th.

Some additional side streets will be closed during Festival hours at the request of the Police Department to facilitate better traffic flow. If you need a parking pass for your vehicle (or your employees’ vehicle) to have access during the festival we will be distributing them in late May (these passes are for employees only – not customers).

We are anticipating a great 30th Festival this year! We hope you come down and enjoy the event first hand.

The new Novato 4th of July website is now available.  You can sign up  your Parade Entry or Support the Parade by being a sponsor.  Sponsors get early recognition both here and on the Parade website.

Those who attended the new monthly Comedy Night at Trek Winery reported that Will Durst was great last night.
